These Terms & Conditions ("Terms") govern your access to and use of Clearout, a peer-to-peer marketplace that connects buyers and sellers of pre-owned and new items ("Clearout", "we", "us", "our"). By creating an account, browsing, buying, or selling on Clearout, you agree to these Terms. If you do not agree, please do not use Clearout.

1. Who this applies to

Clearout has two types of users: Buyers, who purchase items listed by other users, and Sellers, who create listings to sell items. A single account can be both. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or transact on Clearout.

2. Your account

You're responsible for keeping your login details secure and for all activity that happens under your account. Tell us immediately if you believe your account has been compromised. You must provide accurate information when creating your account and when listing items or setting up seller payouts.

3. Listing items as a seller

When you submit a listing, it enters a pending state and is reviewed by the Clearout team before it becomes publicly visible. We may approve, reject, or later remove any listing at our discretion — including for reasons such as prohibited items, misleading descriptions, poor-quality images, suspicious activity, or duplicate/incorrect listings.

You confirm that:

• You have the legal right to sell the item listed;
• The listing's title, description, price, condition, and photos accurately represent the item;
• The item does not violate any law or infringe on anyone else's rights;
• You will honor the price and condition stated once a buyer has paid.

Prohibited items include (without limitation): stolen goods, counterfeit or replica goods, weapons and ammunition, illegal drugs or substances, live animals, hazardous materials, and any item whose sale is restricted or illegal under Nigerian law.

4. How payment and escrow work

When a buyer pays for an item, the payment is processed by Paystack and held by Clearout — it is not paid to the seller immediately. This exists to protect buyers: funds are only released once the buyer confirms they've received the item as described.

Once a buyer confirms an order, Clearout releases 90% of the item's price to the seller and retains 10% as Clearout's platform commission. Depending on Clearout's current payment infrastructure, this release may be processed automatically or manually by the Clearout team — either way, the same 90/10 split applies and is not something either party can alter.

You should only confirm an order once you have actually received the item and are satisfied it matches the listing. Confirming an order releases payment and cannot be undone.

5. Seller payouts

To receive payouts, sellers must provide accurate bank account details during seller onboarding. Clearout is not responsible for payouts sent to incorrect account details you provided. Payout timing may vary depending on Clearout's current payment processing arrangements.

6. Contact-detail unlock fee

To protect sellers and the platform from transactions being taken off-platform after initial contact, a buyer must either complete a purchase or pay a one-time fee (currently ₦2,000 per listing) to view a seller's phone number and WhatsApp contact. This fee is non-refundable once the contact details have been unlocked, and applies once per buyer, per listing.

7. Cancellations, returns & disputes

Clearout facilitates payment and communication between buyers and sellers but is not a party to the sale itself and does not inspect items before they change hands. We do not currently operate a formal returns or refund program. If an item significantly differs from its listing, we encourage buyers not to confirm the order and to contact the seller directly, and to reach out to Clearout support if a resolution can't be reached before funds are released.

Once a buyer has confirmed receipt and funds have been released to the seller, the transaction is considered final and Clearout is not able to reverse or recover that payment.

8. Prohibited conduct

You agree not to: use Clearout for any unlawful purpose; list prohibited items; provide false information; attempt to circumvent Clearout's payment or fee structure (including arranging off-platform payment after using Clearout to make contact); harass, threaten, or defraud other users; interfere with the platform's normal operation; or attempt to access accounts, data, or systems you're not authorized to access.

9. Suspension & termination

We may suspend or terminate a seller's ability to publish listings, or restrict any account's access to Clearout, if we reasonably believe these Terms have been violated. Suspension does not erase your transaction history — past orders and payouts remain on record.

10. Limitation of liability

Clearout is provided on an "as is" basis. To the fullest extent permitted by law, Clearout is not liable for indirect, incidental, or consequential damages arising from your use of the platform, disputes between buyers and sellers, or the condition, legality, or quality of items listed by third parties.

11. Changes to these Terms

We may update these Terms from time to time. Continued use of Clearout after changes are posted means you accept the updated Terms. We'll update the "Last updated" date above when changes are made.

12. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria.
